After operating for over seven years and collaborating with numerous factories across various arrangements, I have observed that clients possess distinct expectations when working with a manufacturer. These three categories encompass almost every possible manufacturing relationship that my clients, as well as myself, have engaged in.

The definitions are as follows:
OEM - Original Equipment Manufacturing // Refers to a manufacturer producing products tailored to a client's designs.
ODM - Original Design Manufacturing // Indicates a manufacturer creating products in-house and then selling them to clients with minimal to no alterations.
CM - Contract Manufacturing // This occurs when a client has a fully developed product and hires a manufacturer to produce it.
What Does ODM Mean?
ODM stands for Original Design Manufacturer, which signifies that the factory creates products primarily based on existing designs but tailored to the buyer’s requirements.
In an ODM arrangement, the buyer typically selects products that the factory manufactures. The buyer may only need to focus on branding and packaging designs. In some cases, the buyer may opt to leave the branding and packaging unchanged while selling as the factory provides it. Occasionally, minor changes in color or logo enhancements may be requested. While the line between OEM and ODM can blur depending on the level of customization, ODM generally involves utilizing an existing product.
Trade shows like Global Sources and the Canton Fair provide excellent examples of ODM manufacturers showcasing their designs, which potential buyers can purchase as is or with some customization. China remains the leader in ODM manufacturing, while other countries lag behind. Many manufacturers outside China tend to focus more on Contract Manufacturing, which will be elaborated on later in this article.

Typically, since the manufacturer handles nearly all aspects of the product design, they retain ownership of the intellectual property, while the buyer maintains copyright over branding elements. This situation can lead to issues if the buyer fears the manufacturer might sell a competing product. Thankfully, there are agreements that can restrict manufacturers from using customizations and branding, but these agreements often cannot prevent them from selling similar products.
What Does OEM Mean?
OEM stands for Original Equipment Manufacturer, indicating that the factory produces a product based on designs provided by the client.
In an OEM arrangement, the client must provide a comprehensive product specification sheet along with detailed designs for the manufacturer to follow. Various degrees of OEM can exist, from utilizing an already existing product with significant customizations—such as changes to dimensions and shape—to creating a completely new product. If you are developing a novel product that is not available market, you will likely be involved in contract manufacturing.
In many OEM cases, custom molds or tooling need to be developed before production begins, and the buyer typically bears these costs. At times, however, manufacturers may cover mold costs and incorporate this expense into the final sales price.
Because the buyer provides the product designs and specifications, they usually own the intellectual property. Furthermore, since the buyer is responsible for the costs associated with tooling and molds, they possess ownership over those components of the production process, potentially securing agreements that prevent the manufacturer from using them for other clients.
What is Contract Manufacturing?
Contract manufacturing is a broader category and is often considered a step beyond OEM manufacturing. In this scenario, the buyer has a new product not yet available in the market and contracts a manufacturer to produce it. A notable example is Apple, which carefully designs each aspect of the iPhone but partners with Foxconn for assembly. Similarly, Apple, like many other brands, sources components separately and sends them to Foxconn for inclusion in the final product.
In contract manufacturing, the intellectual property situation is more straightforward since the buyer creates every aspect of the product design. Therefore, they are generally entitled to complete ownership of the intellectual property rights. This requires enforcement with contracts, patents, and trademarks, which the buyer must acquire.
Is ODM the Same as Private Label?
In short, yes. A private label, often referred to as white-label, involves purchasing pre-manufactured products and applying one’s logo or branding. This method is commonly used by FBA and other eCommerce sellers and represents one of the most straightforward ways to enter retail.

ODM vs. OEM
Several factors warrant consideration when comparing ODM and OEM, including development timelines, intellectual property ownership, tooling costs, and more.
Intellectual property issues and ODM vs. OEM vs. Contract Manufacturing
Each of the three approaches presents distinct IP rights. In ODM, manufacturers retain most IP rights, except for branding rights, while in contract manufacturing, all IP rights typically belong to the buyer. OEM occupies a middle ground, with the buyer owning branding along with some design aspects, while manufacturers may hold rights to other components they have contributed to the design.
Patenting ODM products can be quite challenging, as they often consist of items already present in the market. For example, you cannot patent a baseball cap, but you might successfully patent a unique sweatproof band developed for use within baseball caps.
Buyers are encouraged to secure intellectual property, patents, and trademarks before proceeding with manufacturing. It is essential to understand that only contracts written in Chinese are valid in China, making it extremely difficult to pursue legal action against a manufacturer within their own country without proper precautions.
To best protect oneself, it is advisable to register brand and design trademarks and patents in the intended markets to counteract any instances of unauthorized IP use by manufacturers or competitors.
Who Creates the Product Spec Sheet?
For the three manufacturing arrangements, the party responsible for creating the product specification sheet varies:
OEM - Created by the buyer with possible assistance from the manufacturer.
ODM - Created by the supplier or factory.
Contract Manufacturing - Created by the buyer.

Each method has different involvement levels, leading to significant variations in product development timelines once designs are finalized.

The timeline for ODM can extend from one month to longer based on customization levels. If you require a mold for your product, expect a lead time of at least four weeks. Additionally, anticipate 2-4 weeks for crafting the product specification sheet and design files.
In contract manufacturing, all development occurs from scratch, requiring substantial time for designing the product, establishing manufacturing processes, and sourcing components.
Once manufacturing lines are prepared for mass production, the processing time across ODM, OEM, and contract manufacturing tends to synchronize; any substantial delays will arise prior to production commencement.

ODM costs are covered by the factory or supplier.
OEM - Costs are borne by the buyer.

Most suppliers are OEM factories, making them the easiest type of manufacturer to identify.
With OEM, you can tailor the product according to your requirements as long as it is technically feasible.
You possess intellectual property rights, provided appropriate contracts and protections are in place.
You will have a product uniquely available in the market.

Due to the shorter development timelines, you can quickly place an item into production and retail.
Most manufacturers are amenable to limited customization options.
There are no additional costs associated with tooling or molds.
The Cons of OEM
Buyers must cover all tooling and molding expenses, which can escalate quickly depending on the customization level.
The process generally takes at least one month, often longer, for mold creation and the necessary tooling work.
Providing comprehensive design files in a format comprehensible to the manufacturer and compatible with their machinery is essential.

You can only acquire what is currently offered by suppliers.
Other competitors may have access to the same products as you.
You do not have any intellectual property protections.
You must place trust in your supplier not to infringe upon someone else's intellectual property.

China is the predominant location for ODM manufacturers, while finding ODM suppliers in other countries can be challenging. Despite recent trade tensions, China continues to excel in various manufacturing sectors, although nations like India and Vietnam are making significant strides. While a variety of products can be manufactured, countries like Vietnam are especially adept at contract manufacturing.

When sourcing from Vietnam and other countries, factories often expect clients to come with their design files and not existing products. If you are considering pursuing contract manufacturing or OEM options, it is absolutely acceptable to look beyond China.
